PUBLIC OFFER AGREEMENT
Legal entity Exclusive Point General Trading LLC (hereinafter – the Online Store)
This public offer (hereinafter – the Offer) is a Contract concluded between the online store and the user of the services - an individual (hereinafter - the Buyer), which determines the conditions for purchasing goods, works, and/or services using the resources of the online store.

GENERAL PROVISIONS
GENERAL PROVISIONS
1.1. The online store publishes this Offer with a proposal addressed to individuals and legal entities in accordance with the legislation of the UAE.
1.2. This Offer, as any Contract, defines the essential conditions of interaction between the Online Store and the Buyer (the person who accepted the Offer).
1.3. This Offer is concluded between the Buyer and the Online Store at the moment of placing an order.
1.4. The Offer can be accepted by any individual or legal entity on the territory of the UAE who intends to purchase goods, works, and/or services sold/provided by the Online Store located on the website prodanceshop.ae.
1.5. The Buyer unconditionally accepts all the terms contained in the offer as a whole (i.e., in full and without exceptions).
1.6. In case of acceptance of the terms of this Offer, the individual or legal entity becomes a Buyer.
1.7. Acceptance is the receipt by the Online Store of a message about the intention of an individual or legal entity to purchase goods, works, and/or services on the terms offered by this Online Store.
1.8. The Offer, all changes, attachments to it, as well as all additional information about the goods, works, and/or services of the Online Store, are published on the website prodanceshop.ae.
1.9. Any purchase, dispute, or claim arising in connection with this website shall be governed and construed in accordance with the laws of the UAE.
1.10. United Arab of Emirates is our country of domicile” and stipulate that the governing law is the local law.

1.13. The displayed price and currency at the checkout page, will be the same price and currency printed on the Transaction Receipt and the amount charged to the card will be shown in your card currency.
1.14. We will not trade with or provide any services to OFAC and sanctioned countries.

1.16. User is responsible for maintaining the confidentiality of his account.

STATUS OF THE ONLINE STORE WEBSITE
2.1. The website is the property of the Online Store and is intended for organizing a remote method of selling goods, works, and/or services via the internet.
2.2. By accepting the Offer (i.e., paying for an order placed on the Online Store's website), the Buyer acquires ownership of the goods, works, and/or services under the conditions and procedure defined by the Sale Agreement of the Online Store, posted on the website prodanceshop.ae.
2.3. The Online Store is not responsible for the content and accuracy of the information provided by the Buyer when placing an order on the Online Store's website.

STATUS OF THE BUYER
3.1. The Buyer is responsible for the accuracy of the information provided when placing the order and for its freedom from third-party claims.
3.2. The Buyer confirms his agreement with the terms established by this Offer by ticking the box "I have read the Terms of the Agreement in full, all the terms of the Agreement are clear to me, and I agree with all the terms of the Agreement" when placing an order.
3.3. The information provided by the Buyer is confidential. By providing his personal data, registering on the website, or filling out an application, the Buyer consents to the processing of his personal data for the purposes of fulfilling the user agreement. The Online Store uses information about the Buyer solely for the functioning of the Online Store (sending a notification to the Buyer about the fulfillment of the order, etc.) and in cases specified in this Offer.
3.4. The goods are purchased by the Buyer exclusively for personal, family, or household needs, not related to business activities. The use of the Online Store website (resource) for viewing and selecting goods, works, and/or services, as well as for placing an order, is free of charge for the Buyer.
3.5. The user is responsible for maintaining the confidentiality of his account.

SUBJECT OF THE OFFER

4.1. Based on the Buyer's orders, the Online Store sells goods, works, and/or services to the Buyer under the conditions and at the prices set by the Online Store on its website.
4.2. Delivery of the goods, works, and/or services ordered and paid for by the Buyer is carried out by the Online Store or third parties engaged by the Online Store to fulfill its obligations. The Buyer has the right to pick up the goods, works, and/or services from the location of the Online Store independently via self-pickup. The Buyer is given the right to choose the delivery method when placing the order.
4.3. The relationship between the Buyer and the Online Store is governed by the provisions of the Federal Law No. 15 of 2020 "On Consumer Protection", as well as other regulatory legal acts of the UAE regulating the rights and obligations of the Parties specified in this Offer.
4.4. An individual or legal entity is considered to have accepted all the terms of the Offer (acceptance) and the attachments to it in full and without exceptions from the moment the Online Store receives a message about the intention of the Buyer to purchase goods, works, and/or services on the terms offered by the Online Store. In case of acceptance of the Offer, an individual or legal entity is considered to have concluded a Sale Agreement with the Online Store for the ordered goods, works, and/or services and acquires the status of the Buyer.

ORDER OF CONCLUDING THE SALE AGREEMENT
5.1. The Buyer can place an order independently on the Online Store's website, or through an Online Store specialist by phone, indicated on the website, under the conditions of the Sale Agreement.
5.2. When placing an order on the Online Store's website, the Buyer must provide the following information: Full name; delivery address of the goods; contact phone number and email address of the Buyer.
5.3. The Buyer's will is expressed by entering the relevant data into the order form on the Online Store's website, or by submitting an application through an Online Store specialist using information and telecommunication means or by email (e-mail).
5.4. The Online Store does not edit the Buyer's information.
5.5. To receive a paper copy of the Sale Agreement, the Buyer sends an application by email or in another way agreed with the Online Store specialist by phone indicated on the Online Store's website.
5.6. We will not trade with or provide any services to OFAC and sanctioned countries.

INFORMATION ABOUT THE GOODS
6.1. The goods, works, and/or services are provided for display on the Online Store's website through graphic images-samples and are the property of the Online Store.
6.2. Each graphic image, sample, is accompanied by textual information: name, size range (if necessary), price, and description.
6.3. All informational materials presented on the Online Store's website are for reference purposes only and cannot fully convey information about the properties and characteristics of the goods, works, and/or services, including colors, sizes, shapes, etc. If the Buyer has questions regarding the properties and characteristics of the goods, works, and/or services, the Buyer should contact an Online Store specialist by the phone numbers indicated on the website before placing an order.
6.4. At the request of the Buyer, an Online Store specialist is obliged to provide (by phone or email) other information necessary and sufficient, from the Buyer's point of view, to make a decision to purchase goods, works, and/or services.
6.5. The Buyer is informed that by purchasing goods, works, and/or services at a discount due to defects (faults) in the goods, works, and/or services, the Buyer loses the right to refer to such defects (faults) in the future.
6.6. The Buyer is informed by the Online Store that the goods, works, and/or services listed in the payment invoice as separate items are in no case a set.

ORDER OF PURCHASING GOODS
7.1. The Buyer has the right to place an order for any goods, works, and/or services presented on the Online Store's website. Each item, works, and/or services can be ordered in any quantity. Exceptions to this rule are indicated in the description of each item, works, and/or services in case of promotions, removal of items, works, and/or services from sale, etc.
7.2. The order can be placed by the Buyer by phone numbers indicated on the website or placed independently on the website.
7.3. After placing an order, the Online Store confirms the Buyer's order by sending an email to the Buyer with information confirming the order, indicating the name, size, price of the selected item, characteristics of the works and/or services, and the total order amount, or an Online Store specialist contacts the Buyer by phone to clarify the necessary characteristics of the goods, works, and/or services.
7.4. In the absence of the item in stock, the Online Store specialist must inform the Buyer about it (by phone or email).
7.5. The Buyer has the right to place a preliminary order for the temporarily unavailable item in stock.
7.6. In the absence of the item in stock, the Buyer has the right to replace it with another item or cancel the order.
7.7. The delivery time for the item is no more than 30 (thirty) calendar days and begins to be calculated from the next day after the Online Store receives a message about the Buyer's intention to purchase the item on the terms offered by the Online Store.

PRICE OF GOODS, WORKS, AND/OR SERVICES
8.1. The price indicated on the Online Store's website is in UAE dirhams per unit.
8.2. The price indicated on the website may be changed by the Online Store unilaterally; however, the price of the ordered and paid item, works, and/or services cannot be changed.
8.3. The total order cost consists of the catalog cost, delivery cost, and, if necessary, lifting to the floor and installation (assembly).
8.4. The cost of goods, works, and/or services provided to the Buyer when purchasing goods, works, and/or services on the Online Store's website is indicated in the "Payment and Delivery" section.

PAYMENT FOR GOODS
9.1. The methods and procedure for paying for the goods are indicated on the website in the "Payment and Delivery" section. If necessary, the procedure and terms of order payment are discussed by the Buyer with the Online Store specialist.
9.2. In the case of cash payment, the Buyer must pay the Online Store the order price at the time of transfer of goods, works, and/or services, by transferring money to the Online Store representative who will deliver the goods and/or perform the works and/or provide the services.
9.3. Non-cash payment is made according to the issued invoice within 3 (three) business days from the date of issuance of such an invoice. After the funds are credited to the Online Store's account, the Online Store specialist agrees with the Buyer on the delivery date. In the case of non-cash payment, the Buyer's obligation to pay the order price is considered fulfilled from the moment the corresponding funds are credited to the settlement account specified by the Online Store.
9.4. The Buyer pays for the order by any method available on the Online Store's website.
9.5. Settlements between the Parties when paying for the order are made in UAE dirhams (AED).
9.6. Visa or MasterCard debit and credit cards in AED are accepted for payment.
9.7. The displayed price and currency on the checkout page will be the same as the price and currency indicated on the receipt, and the amount debited from the card will be in the currency of your card.

DELIVERY OF GOODS
10.1. Methods, procedures, and delivery times for goods are specified on the website in the "Payment and Delivery" section. The procedure and conditions for delivering the ordered goods are discussed by the Buyer with the Online Store specialist.
10.2. Self-pickup of goods:
10.2.1. The Online Store, upon receiving a notification of the placed order, confirms its receipt by phone or email of the Buyer and agrees with the Buyer on the date of self-pickup of the goods.
10.2.2. The Buyer pays (in case of cash payment) and receives the order at the location of the Online Store's warehouse. Addresses, contacts, and operating hours of the warehouses are indicated on the Online Store's website in the "Contacts" section. In the case of non-cash payment, the Online Store additionally confirms by phone or email of the Buyer the fact of crediting the payment for the order to the Online Store's settlement account and only after that agrees with the Buyer on the date of self-pickup of the goods.
10.2.3. Ownership and the risk of accidental loss, destruction, or damage to the goods pass to the Buyer from the moment the goods are transferred to the Buyer or their Representative.
10.3. Delivery of goods by the Online Store:
10.3.1. Ownership and the risk of accidental loss, destruction, or damage to the goods pass to the Buyer from the moment the goods are transferred to the Buyer or their Representative at the place of contract execution from the moment the Parties sign the acceptance certificate of the goods (goods invoice).
10.4. Delivery of goods by the Carrier:
10.4.1. Ownership and the risk of accidental loss, destruction, or damage to the goods pass from the Online Store to the Buyer or the Carrier (in accordance with the agreement concluded between the Buyer and the Carrier) from the moment the goods are transferred to the Carrier at the place of contract execution upon signing the acceptance certificate of the goods (goods invoice and/or transport invoice and/or goods-transport invoice).
10.4.2. The obligation to transfer the goods to the Buyer is considered fulfilled from the moment the goods are transferred to the Carrier.
10.4.3. The cost of delivering the goods for each order is calculated based on the weight and volume of all ordered goods, the delivery address of the order, the carrier's rates, and is paid by the Buyer independently.
10.5. The Buyer is obliged to accept the goods by quantity and assortment at the moment of their acceptance.
10.6. Upon receipt of the goods, the Buyer must check in the presence of the Online Store representative (carrier) their compliance with the goods invoice, verify the name of the goods by quantity, quality, and completeness of the goods.
10.7. The Buyer or Representative upon acceptance of the goods confirms with their signature on the goods invoice that they have no claims to the appearance and completeness of the goods.
10.8. We deliver our Products to all Countries and mainly UAE. Shipping will be done by a third-party courier. Delivery within UAE cities shall be in 1 – 2 working days and from 4 to 10 working Days to Other Countries. UAE Delivery Fees will be a Flat Rate of AED: 45 and Delivery Fees outside UAE will be mentioned on the checkout page depending on the country and location. Avoid any delivery delay by providing your full address along with your contact details. Merchant must include how the delivery of the services would happen/reach the customer.

WARRANTIES ON GOODS
11.1. The warranty does not apply to products that are used for purposes other than intended or with violations of the norms and rules of operation established for this type of goods, as well as those specified in this Offer and the Sales Agreement.

RETURN OF GOODS
12.1. The Buyer has the right to refuse the goods at any time before their transfer, and after the transfer of the goods - within 30 (thirty) calendar days, in the manner and under the conditions provided by the Federal Law "On Consumer Rights Protection".
12.2. The return of goods of proper quality is possible if their marketable condition (packaging), consumer properties, and the document confirming the fact and conditions of purchase of the specified goods are preserved within 1 (one) calendar month from the date of signing the goods invoice and/or the acceptance certificate of the Goods.
12.3. The Buyer is not entitled to refuse goods of proper quality with individually specified properties if the specified goods can be used exclusively by the Buyer who acquires them (including non-standard (at the Buyer's request) sizes and others). The confirmation that the item has individually specified properties is the difference in the contents and sizes of the goods from those indicated on the online store.
12.4. The return of goods, in cases provided by law and this Agreement, is made at the addresses specified on the website in the "Contacts" section.
12.5. In case of the Buyer's refusal of goods of proper quality, the Online Store returns to them the amount paid in accordance with the contract, excluding the Online Store's expenses for the delivery of the returned goods from the Buyer, no later than 7 (seven) calendar days from the date the Buyer presents the relevant requirement.
12.6. If the refund is not made simultaneously with the return of the goods, the specified amount is refunded by the Online Store in cash at the location of the Online Store, or by transferring to the Online Store's bank account from which the payment for the goods was made or another account specified by the Buyer.
12.7. The method of refund specified in this paragraph may be used by the Online Store in other cases of refunds provided by this Offer and the UAE legislation.

LIABILITY OF THE PARTIES
13.1. The Parties are liable in accordance with the legislation of the UAE.
13.2. The Online Store is not responsible for the damage caused to the Buyer as a result of improper use of the goods, works, and/or services ordered on the Online Store's website.
13.3. The Parties are released from liability for non-performance or improper performance of obligations under the Offer during the period of force majeure.
14. OTHER CONDITIONS
14.1. The relations between the Buyer and the Online Store are governed by the norms defined by the UAE legislation.
14.2. If necessary, the Online Store and the Buyer have the right to at any time draw up a sales contract in the form of a written bilateral agreement, not contradicting the provisions of this Offer.
14.3. In case of questions and claims from the Buyer, they should contact the Online Store at the address of the Online Store prodanceshop.ae, and/or by email at info@prodanceshop.com and/or by phone number: +971 50 151 2504 specified on the Online Store's website.
14.4. This Offer comes into force from the date of its acceptance by the Buyer and is valid until the full fulfillment of the obligations by the Parties under it.
14.5. All disputes and disagreements arising from the performance by the Parties of obligations under this Offer are resolved through negotiations, and if it is impossible to settle them through negotiations, the Parties have the right to apply to the judicial authorities of the UAE at the location of the Online Store.
14.6. The Online Store reserves the right to expand and reduce the product offering on the website, regulate access to the purchase of any goods, works, and/or services, as well as suspend or terminate the sale of any goods, works, and/or services at its own discretion.
